Welcome to GetAlphaShares.com (“AlphaShares”, “we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of our website, platform, and services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

AlphaShares provides a software platform that enables companies to define and manage profit-sharing programs based on contribution data. You may use the Service only in compliance with these Terms and all applicable laws, regulations, and third-party rights. You must be at least 18 years old or the legal age of majority in your jurisdiction to use the Service. By registering, you represent and warrant that you have the authority to enter into these Terms on behalf of yourself or the entity you represent.

To access certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to keep it up to date. You are responsible for safeguarding your account credentials and for any activity occurring under your account. If you believe your account has been compromised, you must notify us immediately.

You retain all rights to the content and data you submit to the platform, including information about your company, contributors, and performance metrics. By submitting content to the Service, you grant AlphaShares a limited license to use, host, store, and display that content for the purpose of operating and improving the platform. You represent that you have the necessary rights and permissions to submit such content and that it does not violate any laws or third-party rights.

You agree not to misuse the Service. This includes, but is not limited to, attempting to interfere with or disrupt the platform, reverse engineering or copying any part of our software, misrepresenting your identity, violating intellectual property rights, or using the Service for unlawful or unauthorized purposes. We reserve the right to suspend or terminate your access if we determine that your use of the Service violates these Terms or poses a risk to other users or our infrastructure.

AlphaShares owns all rights, title, and interest in the platform, including the software, visual design, and underlying technology. These materials are protected by intellectual property laws. Nothing in these Terms grants you ownership of any intellectual property belonging to AlphaShares or its licensors.

The Service may include links or integrations to third-party tools or services. We are not responsible for the content or practices of those third parties. Your interactions with them are governed by their own terms and policies.

Our Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free. To the fullest extent permitted by law, we disclaim all warranties, including those of merchantability, fitness for a particular purpose, and non-infringement.

To the extent permitted by law, AlphaShares and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim under these Terms shall not exceed the amount you paid us to use the Service in the twelve months preceding the claim.

You agree to indemnify and hold harmless AlphaShares, its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses arising out of your use of the Service, your violation of these Terms, or your infringement of any rights of another.

AlphaShares offers a standard service level agreement for paid subscriptions. We aim for 99.9% uptime monthly, excluding planned maintenance (which will be communicated in advance) and factors outside our reasonable control. While we make commercially reasonable efforts to maintain availability and performance, we do not offer financial SLAs unless explicitly stated in a separate agreement. Premium SLAs may be offered to enterprise customers on request.

All paid subscriptions are billed in advance and are non-refundable, except where required by law or under specific contractual arrangements. If you cancel your subscription before the end of your current billing cycle, your cancellation will take effect at the end of that period, and you will not be charged again. We do not offer prorated refunds for partial use unless otherwise agreed in writing.

AlphaShares is fully committed to compliance with the General Data Protection Regulation (GDPR). We act as both a data controller (for our own customer records) and a data processor (on behalf of our customers using the platform). We implement appropriate technical and organizational measures to ensure the security, confidentiality, and integrity of personal data. Data subjects have the right to access, correct, delete, and restrict the processing of their personal information. We enter into Data Processing Agreements (DPAs) with all customers who require them, and we support international data transfers in compliance with GDPR mechanisms such as Standard Contractual Clauses (SCCs). We may update these Terms from time to time. If we make material changes, we will notify you via the Service or by email. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

These Terms are governed by and construed in accordance with the laws of the European Union and, where applicable, the jurisdiction in which AlphaShares is incorporated. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in that jurisdiction.
